Engagement
1. Thank you for accepting our offer to present seminars to you. By signing the order form, you agree that the order form together with these terms and conditions form a contract between you and us.
Time and Place
2. Your payment of the investment to us entitles you to:
a. attend during the seminar hours and
b. to receive a copy of the materials (subject to clauses 8 to 10)
3. We change the seminar hours and/or the location for any reason other than notifying you in writing of the change and detailing substitute seminar hours and/or location and:
a. We shall have no liability to you
b. You shall make no claim against us (including a refund), in respect of the same.
Investment and Payment
4. You must pay to us in consideration of the seminar services we provide.
a. The investment sum in one lump sum on the signing of the order form by you without set off, deduction, or counterclaim; or
b. If we have agreed that you may pay by installment, you must pay each installment to us in full and without set off or deduction the installment sum on the installment payment date.
5. Payments made under this agreement must be made by the means specified in the order form.
6. Should you not pay us an installment sum by the installment payment date for that sum then all monies owing by you to us shall become due and owing and must be immediately paid to us without set off or deduction or counterclaim and without need for further demand.
7. You acknowledge that you shall be entitled, and shall not claim a refund for amount that you paid. You further acknowledge that this is an essential term of this agreement which we rely.
Intellectual Property
8. We have all the right, title, and interest in all intellectual property used by us in performing the seminar services (Subjects to the rights of the presenters) and all intellectual property we may develop of the performance of the seminar services.
9. In performing the seminar services for you, we do not transfer title to you in any intellectual property, and the title with to all such intellectual property remains with us.
10. You may not:
a. alter any of our intellectual property or the materials; or
b. copy or reproduce the content of the seminar services, or the materials; or
c. sell the intellectual property or services or the materials (IP) or supply The IP to third parties
11. You authorize us to use any intellectual property created by us in performing the services for any purpose it may require, including, without limitation, marketing and promotions of our services.
Limitation of Liability
12. We:
a. exclude all terms, conditions, and warranties implied by custom, the general law or statute, or which cause any part of this agreement to be void (Non-excludable condition)
b. limit our liability to you for breach of any non-excludable condition to the total amount actually paid by you under this agreement;
c. limit our liability for you and any claim (whether arising in contract, tort, or statute) for loss or damage suffered by you in relation to the performance of the seminar services to the total amount actually paid under this agreement; and
d. excludes all liability for the consequential damage (including but not limited to, lost revenue or profit) suffered by you in any way relating to the seminar services or your exercise of rights under this agreement.
e. Force Majeuere-If the performance or performances as contemplated by this agreement are prevented or cancelled because of an act of God, an inevitable accident, fire, blackout, flood, or any other calamity, or if by reason of strikes or lockout of any other events beyond the direct control of both parties, then the promoter may at its option either postpone the performance from the original performance date.
General
13. All notices or the other communications must be made to the addresses specified in the order form.
14. The non-exercise of or delay in exercising any power of right of a party does not operate as a waiver of that power or right, nor does any single exercise of any power or right preclude any other or further exercise of it; or the exercise of any other power or right. A power or right may only be waived in writing, signed by the party to be bound by the waiver.
15. Should any provision of this agreement be held by a court to be unlawful, invalid, and unenforceable or in conflict with any rule, statute ordinance or regulation the validity and enforceability of the remaining provisions will not be affected.
16. This agreement constitutes the entire agreement between the parties. Any prior arrangements, agreements, representations or undertakings are superseded.
Cooling Off Period
17. This agreement shall be voided if you contact us in writing, within five working days of signing the order form, that you know longer wish to receive our seminar services; we shall refund to you all the monies or part thereof you have paid to us under this agreement.
Refunds & Cancellations
18. We may cancel the seminar services for any reason by written notice to you. We will also refund you the investment you have actually paid to us within 30 working days of giving you notice of cancellation.
19. You acknowledge that you cannot be entitled, and shall not claim a refund other than by strict compliance with clauses 17, 18, &21. You further acknowledge that this is an essential term of this agreement on which we rely.
20. After the expiry of the 5 days cooling off period mentioned in (No. 17 above), a 15% cancellation fee applies, subject to organizers approval.
21. In the event that you are unable to attend the event you have booked and paid for, you can transfer your ticket to a nominated new attendee subject to notifying us at least 14 working days before the event starts, and providing us with their full contact details. An administration fee of$100 will apply.
Indemnification
22. Client agrees to indemnify Empowered Mastery Consultants against all loss or damage that client may suffer as a result by EMC, any of its affiliates or representatives. In witness, whereof, the parties have executed this contract, the date and year stated on the order form written.
Empowered Mastery Consultants reserves the right to alter terms and conditions with prior notice.
You, the buyer may cancel this transaction any time prior to midnight of the third business day after the date of this transaction. See the notice of cancellation form above for an explanation of this right. By signing this document I agree to the policy above of this form and I agree to Empowered Mastery Consultants for charging my credit card for the amount indicated above.
